I have the same problem with kernel 3.0:
After upgrading to VirtualBox 4.1.0 I'm unable to shutdown my laptop without causing a kernel panic.

Full kernel panic information and a temporary solution to this issue are posted in bug report #9305.

Just an update. I installed kernel 3.0.0-1-686-pae and now no more kernel panic on shutdown on the host machine. I also tried to reinstall the the vbox kernel modules on kernel 3.0.0-rc6-686-pae with /etc/init.d/vboxdrv but it didn't solve the problem. I have two 3.0.0 kernels, one working and one not and I have no idea why. Any test I can do to narrow down the problem?
